Board Member Responsibilities & Expectations Guidelines

The EBC Board of Directors is made up of leaders from environmental and energy businesses motivated to foster the development of the environmental and energy industries.

Responsibilities

The EBC Board of Directors has the following responsibilities:

  • Govern the EBC by establishing policies and objectives.
  • Select, appoint, support, and review the performance of the Executive Director.
  • Review the annual budget and ensure appropriate financial measures are used.
  • Actively participate in EBC programs, meetings and events.
  • Support the EBC Committees and State Chapters.

Expectations

The EBC deeply appreciates the contributions of its Board Members.  Many directors give generously to support the mission of the organization, and the Board has developed the following recommended guidance for Board Member participation in four areas:

Financial

The EBC relies on the financial support of its members, its Board Members in particular. Directors are expected to have their company pay annual dues and to sponsor one or more EBC programs over the course of the year. Smaller firms should expect to commit (through sponsorship) a minimum of $2,500 per year, and larger firms should expect to commit a minimum of $5,000 per year, beyond membership dues.

Attendance

Directors are expected to attend at least 50% of the scheduled Board of Directors meetings (five per year on average plus the Annual Board Retreat). Directors should also commit to attend several programs during the course of the year, particularly the Annual Meeting and EBEE Awards Dinner and the Annual Board Retreat.

Outreach

New member recruitment is important to the sustainability of the organization. Directors are expected to encourage attendance (bring a guest) at EBC programs and committee meetings, including from their own firm, and especially junior staff.

Involvement

It is not enough to show up at a few Board meetings.  Directors should be involved in at least one other EBC activity, either by serving on the Executive Committee, another Committee, or helping to organize a program or event.
